AFFILIATE PROGRAM
Terms used but not defined herein shall have the respective meanings given to them in the Terms of Use.
This Affiliate Program shall apply to your activities to promote the Software among acquainted or undetermined persons.
Access to the Software is provided by Cupo Corp Limited (“CUPO”), a company registered under the laws of Colorado, USA (141 Union Blvd Ste 101 Lakewood CO 80228-1837 US).
In the event of a conflict between the Affiliate Program and the Terms of Use, the provisions of the Affiliate Program (hereinafter referred to as the “Program”) shall apply. All matters not regulated by the Affiliate Program shall be subject to the Terms of Use.
CUPO is entitled to change the Program in accordance with Section 2 of the Terms of Use.
This Program is written in English. Any translated version is provided solely for your convenience. To the extent any translated version of this Program conflicts with the English version, the original version in English shall prevail.
1. Definitions
1.1. Partner – a natural person or legal entity with a registered account to the Software that is not not banned, blocked or subjected to any sanctions or limitations, and who has accepted the terms of this Program and thus has expressed the intention to participate in the Affiliate Program of CUPO by attracting new active users (“Referrals”) using the Referral Link. A user is considered to be a Partner after attracting at least one Referral to the Software.
1.2. Referral link – is an automatically generated hyperlink to the account registration scenario, personalized exclusively for the Partner to share with potential users for attracting Referrals.
1.3. Referral – Level 1 Referral or Level 2 Referral.
1.4. Level 1 Referral (1st-level Referral) – a natural person or legal entity who has (a) successfully registered a user account in the Software following a Referral Link shared by a Partner, (b) purchased and paid for the Subscription in US dollars, and (c) is not a Partner.
1.5. Level 2 Referral (2nd-level Referral) – a natural person or legal entity who has (a) successfully registered a user account in the Software following a Referral Link shared by a Level 1 Referral, (b) purchased and paid for the Subscription in US dollars, and (c) is not a Partner.
1.6. Referral account – separately displayed account which becomes available to the Partner upon acceptance of the terms of this Program. Funds on the Referral Account are accounted US dollars and accrued in accordance with Section 3 of this Program.
2. Obligations of the Partners and Referrals
2.1. To become a Partner you are obliged to:
2.1.1 register a user account within the Software and provide all the requested data in your profile, including contact data;
2.1.2 undergo a verification process ( AML/KYC compliance if applicable);
2.1.3 request and obtain a Referral link in your user account (section “Referrals”).
2.2. Partner or 1st-level Referral may attract any person to become a user, in any possible way or manner not contrary to the law, making sure that such a person:
2.2.1. has reached 18 years of age to use the Software;
2.2.2. is not under control (or reside in) a jurisdiction that explicitly prohibits the use of similar products as the Software.
2.2.3. is aware that he/she uses the Software at his/her own discretion and under his/her own responsibility.
2.3. Requirements in clauses 2.2.2–2.2.3 shall also apply to legal entities that are being attracted by Partners or 1st-level Referrals to become Software users.
2.4. Partner and 1-st level Referral have no authority and shall not:
2.4.1. conclude or enter into any agreements (including preliminary or verbal) with any persons or entities on behalf of CUPO;
2.4.2. introduce themselves or act as an employee or partner of CUPO;
2.4.3. collude with existing or potential users in order to gain any illegal benefit from this Program or benefits offered hereunder;
2.4.4. make any statement or give any warranty or guarantee regarding the Software;
2.4.5. harm reputation, image or prestige of CUPO and/or the Software;
2.4.6. use the intellectual property of CUPO in any way that violates the license set out in the Section 1 of the Terms of use.
2.5. Any new user attracted to the Software by Partner or 1st-level Referral is considered to be a Level 1 Referral or Level 2 Referral only if he/she followed a Referral link provided by the Partner or 1st-level Referral, registered a user account, purchased and paid for Software Subscription in US dollars.

3. Terms of payment
3.1. CUPO will pay the Partner a reward for Level 1 Referrals and Level 2 Referrals.
3.2. The Partner’s reward is calculated as a percentage of the net amount (excluding VAT) of any successful and subsequently not refunded or reversed payment by a Referral to pay for a Subscription for the first time:
3.2.1. Level 1 Referral shall mean a Referral attracted by the Partner for whom the Partner is rewarded 20% of the Subscription Fee.
3.2.2. Level 2 Referral shall mean a Referral attracted by Level 1 Referral for whom the Partner is rewarded 10% of the Subscription Fee.
3.3. CUPO rewards the Partner in US dollars.
3.4. The reward is credited to the Partner’s Referral account within 24 hours from the moment Level 1 Referral or Level 2 Referral pays for a Subscription.
3.5. CUPO is not obliged to pay the reward in a currency other than the US dollar.
3.6. With funds on your Referral account you may:
3.6.1. transfer the funds to your Primary account to pay for the Subscription;
3.6.2. transfer the funds to your Primary account for withdrawal as described in the Refund Policy.
3.7. The Partner shall be responsible for the reporting, collection, remittance and payment of any taxes, charges, levies, assessments and other fees of any kind imposed by public or other authority in respect to the rewards credited to the Referrer Account as well as the Primary account and/or transferred to external accounts or wallets.
